Terms of Service
Last updated: 1 December 2025
In plain words
- Your written quotation sets out exactly what we will do and what it costs. Anything extra is quoted and approved separately before we do it.
- A deposit confirms your order. The balance is due when the work is complete. Equipment stays ours until it is paid for in full.
- Warranty covers manufacturing faults and our workmanship, not lightning, power surges, water, misuse or other people's changes.
- CCTV and alarms help deter and record incidents; they cannot guarantee that a crime or loss will not happen.
- You are responsible for using cameras lawfully and for keeping your passwords safe.
- Our liability is limited: we are not responsible for indirect losses or for incidents a system did not prevent, and any claim is capped at what you paid for the item concerned. Please see section 20.
- If something goes wrong, tell us in writing and we will work with you to put it right. Disputes we cannot settle between us go to mediation and then binding arbitration in Kandy, rather than to court. Please see section 27.
This summary is for convenience only. The full terms below are what apply.
These Terms of Service ("Terms") govern all products and services supplied by CentralTech Solutions ("we", "us", "our") and your use of this website. They apply to every quotation, order, installation, repair, support visit and maintenance contract, whether you contact us by phone, WhatsApp, email, this website or in person. Please read them carefully: they include important limits on our liability (section 20) and your responsibilities as a client (sections 7–10).
1. Definitions
- "Client", "you" means the person, business or organisation that requests a quotation or orders goods or services from us, and anyone authorised to act on their behalf.
- "Quotation" means our written offer (on paper, PDF, email, WhatsApp or through our online portal) describing the goods, services and price for your job.
- "Works" means the installation, configuration, cabling, repair, support or other services described in the Quotation.
- "Equipment" means cameras, recorders, hard drives, network devices, cables, access control and fingerprint terminals, accessories and any other goods we supply.
- "Site" means the premises where the Works are carried out.
- "Completion" means the point at which the Works described in the Quotation are installed and working, as set out in section 11.
- "In writing" includes letters, email, WhatsApp and SMS messages, and messages through our website or portal. However, any complaint, claim, warranty claim, notice of dispute, cancellation or other formal notice from you to us is valid only if sent by email to our official email address or by letter to our business address. Messages by WhatsApp, SMS, phone call, social media or to individual staff members do not count as notice for these purposes.
2. Agreement and order of documents
A binding agreement is formed when you accept a Quotation by signing it, confirming it in writing, paying a deposit, or allowing us to start the Works. By doing any of these you confirm that you have read and accept these Terms, including the limits on our liability in section 20, and that you had the opportunity to ask questions about them before accepting.
If there is any conflict between documents, they apply in this order:
- A separate written contract signed by both parties (for example, an Annual Maintenance Contract or a corporate service agreement).
- The accepted Quotation, including any written variations agreed under section 4.
- These Terms.
Your own purchase orders, terms or conditions do not apply unless we expressly agree to them in writing. Verbal promises or statements by any staff member that are not confirmed in writing do not form part of the agreement.
If you accept on behalf of a company, landlord, tenant, school, institution or other person, you confirm you have authority to do so. If you do not, you are personally responsible for payment.
3. Site visits, quotations and pricing
- Site visits within our service area are free unless we tell you otherwise beforehand. Visits outside our service area, or repeated visits for the same enquiry, may be charged.
- A Quotation is valid for 14 days from its date unless it states otherwise. After that we may revise it.
- Much of our Equipment is imported, and its price depends on exchange rates, taxes and supplier pricing. Until a Quotation is accepted and the deposit is paid, we may revise prices to reflect such changes. Once accepted and the deposit is paid, the quoted price is fixed for the quoted scope, unless the Works are delayed by more than 30 days for reasons not caused by us (in which case section 9 applies).
- Quotations are based on what we could see and what you told us at the time. Hidden conditions (for example concealed pipes or cables, asbestos, unstable walls or ceilings, unexpected distances, or a lack of power) may change the price or method, and we will tell you before doing any extra work.
- Prices include Equipment, labour and standard installation materials only to the extent listed in the Quotation. Unless listed, they do not include: civil works, trenching, masonry, painting or making good beyond minor touch-ups; ladders or scaffolding beyond standard heights; electrical work beyond connecting to an existing socket; internet connections, SIM cards or data plans; software licences or subscriptions; or permits and approvals.
- Product images, specifications and model numbers are supplied by manufacturers and may change. If a quoted model becomes unavailable, we may supply an equivalent or better model at the same price, and will tell you before doing so.
- Camera views, coverage, image detail, night vision range, Wi-Fi coverage and network speeds depend on lighting, weather, distance, building materials and interference. Any figures or sample images we give are typical examples, not guarantees.
4. Scope of work and variations
We will carry out only the Works described in the accepted Quotation. Any change you request (extra cameras, moving a camera after installation, longer cable runs, different equipment, additional configuration, or work on other systems) is a variation.
- Variations will be priced and confirmed in writing (a WhatsApp message is enough) before we carry them out. Once confirmed, they form part of the agreement and are payable on the same terms.
- Moving or re-angling cameras, sensors or access points after you have approved their positions is a variation and may be charged.
- If, during the Works, we find that additional work is necessary for the system to function (for example, because of a hidden condition), we will explain why and quote it. If you decline, we will complete what can reasonably be completed and are not responsible for any resulting limitation in performance.
- Advice or minor assistance we give outside the Quotation (for example, help with your phone, router, television or another supplier's system) is given as a courtesy, without warranty, and does not expand our responsibility.
5. Payment terms
- Deposit: unless the Quotation says otherwise, a deposit of 60% of the quoted price is required to confirm the order. We are not obliged to order Equipment, reserve a date or begin the Works until the deposit has cleared.
- Balance: the remaining balance is due on Completion. For larger projects, we may invoice progress payments as stated in the Quotation.
- Payment methods: cash, bank transfer, or cheque. Cheques are accepted subject to clearance; a dishonoured cheque makes the full amount immediately due, and you are responsible for any bank charges.
- Payment reports: if you tell us you have paid by bank transfer (including through our online tracking page), the payment counts only once the funds have cleared in our account.
- Credit terms: credit for corporate or institutional clients is available only if agreed in writing. If a client on credit pays late, we may withdraw credit for future work.
- Disputed items: if you dispute part of an invoice, you must tell us in writing within 7 days, say which items you dispute and why, and pay the undisputed amount on time. A minor defect or an outstanding small item does not entitle you to withhold the full balance.
- Late payment: if any amount is overdue, we may, after giving you written notice: (a) suspend further work, support, warranty service and remote access assistance until it is paid; (b) charge interest on the overdue amount at 2% per month (or the maximum lawful rate, if lower) from the due date; and (c) recover our reasonable collection and legal costs.
- Warranty service, password resets, configuration changes and handover of administrator credentials may be withheld until the account is paid in full (see also section 16).
6. Ownership of equipment
Equipment remains our property until we have received payment in full for it (including any variations). Risk of loss or damage passes to you when the Equipment is delivered to the Site. Until you have paid in full:
- you hold the Equipment on our behalf, must keep it in good condition, and must not sell, give away, move or pledge it;
- if payment remains overdue for more than 30 days after written notice, you authorise us to enter the Site at a reasonable time to disconnect and remove the unpaid Equipment. We will make good any damage caused by the removal itself, but not cosmetic marks such as screw holes or cable clips; and
- removing Equipment does not cancel the balance you owe for labour, materials that cannot be recovered, or costs of removal.
7. Client responsibilities
You agree to:
- give us accurate information about the Site, your requirements and any known hazards or concealed services (water pipes, electrical wiring, gas lines);
- confirm that you own the Site or have the owner's, landlord's or management's permission for the Works, including drilling, cable routes and mounting on walls, poles or shared areas;
- obtain any permits, approvals or neighbour consents required, unless the Quotation says we will;
- provide a suitable, stable electrical supply, and an internet connection where remote viewing or cloud services are part of the Works. We are not responsible for faults in your electrical wiring or with your internet provider;
- approve camera, sensor and device positions before we install them, and tell us at the time if you are not happy with a position;
- appoint one person who can make decisions and approve variations, and make sure they are reachable while we are on Site;
- move or protect furniture, valuables and fragile items in work areas before we arrive. We take reasonable care, but are not responsible for items left in the way;
- keep children, pets and other people away from work areas; and
- pay on time in accordance with section 5.
8. Site conditions, access and safety
- Installation involves drilling, fixing and cable routing. We take reasonable care, but some dust, small holes, cable clips and visible conduit are a normal part of the Works. Making good, painting and concealing cables inside walls are not included unless stated in the Quotation.
- We are not responsible for damage to concealed pipes, cables or structures that you did not tell us about and that we could not reasonably have detected.
- We are not responsible for pre-existing defects, such as weak or damp walls, unstable ceilings, loose tiles, faulty electrical wiring or old network cabling, or for damage they cause.
- Our staff may refuse to carry out any task they reasonably consider unsafe, including working at height without safe access, in severe weather, near exposed live wiring, or where there are aggressive animals or threatening behaviour. This is not a breach of contract, and any extra work needed to make the task safe will be quoted as a variation.
9. Scheduling, delays and missed visits
- Dates and times we give are estimates made in good faith. Delays caused by supplier stock, shipping, weather, power cuts, or factors outside our control are not a breach of contract, and do not entitle you to cancel without charge or claim compensation, provided we keep you informed.
- If we arrive at the agreed time and cannot start or continue because of you (for example no access, no one present to approve positions, no power, or the site is not ready), we may charge a call-out fee for the wasted visit and reschedule at the next available date.
- If you postpone the Works by more than 30 days after the deposit is paid, we may revise prices for Equipment not yet purchased, and you must pay for Equipment already ordered for your job.
- If you do not allow us to complete the Works within 60 days of the agreed date, we may treat the Works as complete up to that point and invoice for the Equipment supplied and the work done.
10. Client-supplied equipment and third parties
- If you ask us to install, connect, repair or reuse equipment, cabling or software that we did not supply, we do so at your risk. We do not warrant its condition, compatibility or performance, and our warranty does not cover it or failures it causes.
- If existing equipment fails or is found to be faulty while we work on it, we are not responsible unless the failure was caused by our negligence.
- Diagnosis time is chargeable even if the fault is found to be in equipment or services we did not supply (for example, your internet provider's router or line).
- If anyone other than us (including you, another technician, an electrician, a painter or your internet provider) alters, moves, opens, reconfigures or repairs the system, our warranty for the affected parts ends, and any work needed to put it right is chargeable.
11. Completion, handover and acceptance
- On finishing the Works, we will demonstrate that the system works, show you or your nominated person how to use it, and hand over login details in accordance with section 16.
- You should check the Works at handover and tell us in writing of any defect or incomplete item within 7 days. We will put right any genuine defect in our Works within a reasonable time.
- The Works are treated as accepted on the earliest of: (a) you signing or confirming the job as complete; (b) 7 days after handover without a written defect report; or (c) you starting to use the system for its intended purpose.
- Minor items that do not stop the system from being used (for example, a single camera angle adjustment or a cosmetic item) do not delay Completion or payment of the balance; we will attend to them separately.
- Acceptance does not affect your warranty rights for defects that appear later.
12. Warranty
Warranty periods. The warranty period for each item is stated on your Quotation or invoice. Unless stated otherwise, our installation workmanship is guaranteed for 12 months from Completion, and Equipment carries the warranty offered by its manufacturer or distributor, which we will help you claim. Warranty starts from the invoice or Completion date, whichever is earlier.
What we will do. If a covered fault appears during the warranty period, we will, at our option, repair, replace or adjust the affected item. Replacement may be with an equivalent model if the original is no longer available. Replacement parts are covered for the rest of the original warranty period only.
How to claim. Report the fault in writing, quoting your invoice or job reference. Warranty service is provided on-site within our service area during business hours; outside our service area, or if the item must be sent to the manufacturer, travel or courier costs may apply and repair times depend on the manufacturer.
The warranty does not cover:
- lightning, power surges, voltage fluctuations, power cuts, or faulty electrical supply or earthing;
- water, moisture, insects, rodents, fire, accident, vandalism, theft or tampering;
- physical damage, misuse, neglect, or use other than as instructed;
- Equipment that has been altered, moved, opened or repaired by anyone other than us;
- consumable and wear items, such as batteries, power adaptors, remote controls and fuses, unless faulty on delivery;
- hard drives and memory cards beyond their manufacturer's warranty, and any loss of recordings or data stored on them;
- problems caused by your internet connection, router, mobile phone, apps, software updates or third-party cloud services;
- forgotten passwords, accidental factory resets, or configuration changes made by you or others;
- normal deterioration in image quality from dust, cobwebs, sun exposure or weather, or normal cleaning and adjustment; and
- Equipment that has not been paid for in full.
If we attend a warranty call and the fault is found to be excluded, a service charge and the cost of any parts will apply. We will tell you before doing chargeable work.
We strongly recommend that you install surge protection and, where power is unreliable, an uninterruptible power supply (UPS). If you decline our recommendation, faults caused by power problems are your responsibility.
13. Support, maintenance and AMC
- Support outside warranty, and support for systems we did not install, is chargeable per visit or per hour, unless covered by an Annual Maintenance Contract (AMC).
- An AMC covers only the equipment, visits and response times stated in it. Parts, replacements and work outside its scope are charged separately unless the AMC says otherwise.
- Response times are targets that we make reasonable efforts to meet, not guarantees, unless a written service level agreement says otherwise.
- Remote support requires your permission and a working internet connection. We are not responsible for delays caused by you being unavailable or by your connection.
14. What security systems can and cannot do
CCTV cameras, alarms, access control, fingerprint systems and related products are designed to deter, detect and record. They cannot prevent every crime, intrusion, loss, injury or damage, and we do not guarantee that they will. In particular:
- cameras may not identify faces, number plates or details, depending on distance, lighting, angle, weather and resolution;
- systems stop working or recording during power cuts, network outages, equipment failures, storage being full, or tampering, unless backup power or other measures are installed and maintained;
- mobile alerts and remote viewing depend on your internet connection, mobile network, phone settings and third-party app services, and may be delayed or fail;
- fingerprint and access control readers may fail to read some fingerprints (for example, worn or damaged prints), and electric locks behave as configured during power cuts; and
- attendance reports depend on correct use and data entry, and you are responsible for checking them before using them for payroll.
We are not an insurer or a monitoring service. You should maintain appropriate insurance for your property and business, and we are not liable for theft, burglary, loss, injury or damage that a system did not prevent, detect or record.
15. Lawful use of CCTV and personal data
You decide where cameras, microphones, fingerprint readers and other devices are placed and how they are used, and you are responsible for using them lawfully. This includes complying with the Personal Data Protection Act, No. 9 of 2022 and any other applicable law. In particular, you are responsible for:
- not recording places where people expect privacy, such as bathrooms, changing areas or bedrooms of employees or guests;
- not recording a neighbour's property or public areas more than reasonably necessary, and dealing with any complaints about camera positions;
- displaying CCTV notices, informing employees and visitors, and obtaining any consent required, especially for audio recording and fingerprint (biometric) data;
- keeping recordings and biometric data secure, limiting who can access them, and deleting them when no longer needed; and
- handling requests from people who appear in your recordings or whose data you store.
We may advise on positions, but final placement is your decision. We may refuse to install a device in a position we reasonably consider unlawful or an invasion of privacy. We do not access your recordings or data except when you ask us to for support, and we handle any data we see in accordance with our Privacy Policy.
16. Passwords, remote access and cybersecurity
- On Completion and payment in full, we will give you the administrator passwords for the systems we installed. You should change default passwords and keep them confidential. You are responsible for anyone who uses your passwords.
- With your agreement, we may keep a record of credentials or remote access to provide support. You may ask us at any time to delete it, after which support may require a site visit.
- Password recovery and resets requested because credentials were lost or changed by you or others are chargeable. For security, we will reset a device only for a person we can reasonably verify as the owner or authorised user, and may ask for proof such as the invoice.
- No internet-connected system is completely secure. We configure systems according to reasonable industry practice, but we are not liable for hacking, unauthorised access, malware or data breaches that are not caused by our negligence, including those resulting from weak or shared passwords, outdated firmware you declined to update, or insecure networks or devices you control.
17. Recordings, data loss and backups
- CCTV recorders store footage for a limited time and then overwrite it automatically. The retention period depends on storage size, camera count, resolution and motion. Any retention figure we give is an estimate.
- You are responsible for checking your system regularly, and for saving footage you need before it is overwritten. We are not responsible for footage that was not recorded, has been overwritten, or is lost because of a fault, power failure, theft of the recorder or tampering.
- Before we repair, reset, replace or upgrade any device, computer or storage, you are responsible for backing up your data. Repairs, firmware updates and replacements may erase data, and we are not liable for data loss except where caused by our negligence.
- Helping you retrieve or export footage (for example, for police or insurance) is a chargeable service unless covered by your AMC.
18. Cancellations, returns and refunds
- You may cancel an accepted order by telling us in writing. If you cancel before we have ordered Equipment or started work, we will refund your deposit less any reasonable costs already incurred (for example, a chargeable site survey or design work).
- If you cancel after we have ordered Equipment or started work, you must pay for work done, materials used, Equipment ordered specially for your job, and any supplier restocking or cancellation charges. We may deduct these from your deposit; any shortfall is payable by you.
- Standard, unopened Equipment in original packaging may be returned within 7 days of delivery, at our discretion, subject to a restocking charge. Equipment that has been installed, configured, opened, special-ordered or cut to length (such as cable) cannot be returned unless it is faulty.
- We may cancel or suspend the Works by written notice if you fail to pay, fail to give access, or materially breach these Terms, or under section 22. You must then pay for Works done and Equipment supplied or ordered up to that date.
- Approved refunds are made by bank transfer to the account the payment came from, or by another method we agree, within a reasonable time.
19. Uncollected equipment
If you leave equipment with us for repair, configuration or inspection, we will tell you when it is ready. If it is not collected and paid for within 60 days of that notice, and after a further written reminder giving you at least 14 days, we may charge reasonable storage, or sell, recycle or dispose of the equipment and use any proceeds to cover what you owe. Before disposal, we will erase any storage media.
20. Limitation of liability
Please read this section carefully. Our prices are set on the basis that our liability is limited as described here. If you want greater protection, you should arrange your own insurance, or ask us in writing before accepting the Quotation for a higher limit, which may involve a higher price.
To the fullest extent permitted by law:
- No liability for indirect loss. We are not liable for any indirect, special or consequential loss or damage, or for any loss of profit, revenue, income, business, contracts, opportunity, goodwill, data, recordings or anticipated savings, business interruption, or wasted expenditure, however caused, and even if we were told it was possible.
- No liability for incidents. We are not liable for any theft, burglary, robbery, intrusion, vandalism, fire, injury, loss or damage to people or property that a system we supplied, installed, repaired or maintained did not prevent, detect, record, alert or report, whether or not the system was working at the time.
- No liability for causes outside our work. We are not liable for any loss, damage, failure or delay caused or contributed to by you or anyone at the Site; the condition of your property, wiring or existing equipment; your other suppliers or contractors; your internet, electricity or mobile service providers; manufacturers' products, software, firmware, apps or cloud services; or events under section 23.
- Damage to property during the Works. We are only responsible for physical damage to your property that is directly caused by our negligence while carrying out the Works. You must show it to us, with photographs, within 48 hours of the visit when it happened. Our responsibility is limited to repairing the damage or, at our option, paying the reasonable cost of repairing it, and in all cases within the cap below. We are not responsible for damage described in section 8.
- Your remedies. If our Works or Equipment are defective, your remedy is that we repair, re-perform or replace the defective item under section 12, or, if we cannot reasonably do so, refund the price paid for that item. This replaces any other remedy, to the extent the law allows.
- Overall cap. Our total liability for all claims arising from or connected with an order, whether in contract, negligence, breach of statutory duty or otherwise, will not exceed the price you actually paid us for the specific Works or Equipment that gave rise to the claim.
- Time limit for claims. You must notify us in writing of any claim within 7 days of becoming aware of the problem, or of when you ought reasonably to have become aware of it. If you do not, we are not liable for that claim, or for any loss that could have been avoided or reduced had you told us in time. No claim may be brought against us more than 6 months after Completion of the Works concerned. The only exception is a claim under our warranty in section 12: it must be notified within the warranty period for the item concerned, and brought no later than 30 days after that period ends. These limits apply except where the law does not allow such a limit.
- Our chance to fix it. You must give us a reasonable opportunity to inspect and put right any issue before you engage anyone else. We will not pay for another provider's work that we were not given the chance to avoid, and work by others on the system ends our responsibility for the affected parts (section 10).
- Who can claim. Our agreement is with you only. Our staff, technicians and subcontractors have no personal liability to you, and you agree not to bring claims against them personally; they can rely on this section.
- No reliance on other statements. You confirm that you did not rely on any statement, advertisement, brochure, sample image or verbal promise that is not written in the Quotation or these Terms.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, such as liability for death or personal injury caused by our negligence, for fraud, or your rights as a consumer under the Consumer Affairs Authority Act, No. 9 of 2003, where it applies. If any limit in this section is found to be unenforceable, our liability is limited to the smallest amount the law allows, and the rest of this section still applies.
21. Indemnity
You agree to compensate us for any loss, claim, penalty, cost or expense (including reasonable legal costs) we suffer as a result of: your breach of these Terms; inaccurate information you gave us; your lack of authority or permission to have the Works carried out at the Site; unlawful use of any system we installed, including surveillance or processing of personal or biometric data; or claims by third parties (such as neighbours, employees, landlords or tenants) relating to your use of the system.
22. Conduct and refusal of service
We treat our clients with respect and ask the same in return. We may suspend or stop work, leave the Site, and decline future work, if you or anyone at the Site:
- threatens, abuses, harasses or discriminates against our staff, or behaves in a way that puts their safety at risk;
- asks us to do anything unlawful or unsafe, or to bypass safety requirements; or
- repeatedly fails to pay, provide access or follow these Terms.
In that case, you must pay for Works done and Equipment supplied or ordered up to that point, and section 18 applies. We may record incidents involving our staff for their protection.
23. Events beyond our control
We are not liable for any delay or failure caused by events beyond our reasonable control, including severe weather, flooding, landslides, lightning, power or internet outages, fuel shortages, strikes, curfews, civil unrest, epidemics, government action, import restrictions, shipping delays, supplier shortages, or sudden currency changes. If such an event continues for more than 60 days, either of us may cancel the unfinished part of the order by written notice, and you must pay for Works done and Equipment supplied or ordered up to that point.
24. Communications and records
- You agree that quotations, approvals, variations, invoices, notices and other communications may be sent and accepted electronically, including by email and WhatsApp, and that these are valid written records, as permitted under the Electronic Transactions Act, No. 19 of 2006. Formal notices from you to us (complaints, claims, warranty claims, disputes and cancellations) must be sent by email or letter only, as explained in section 1.
- Messages sent to the phone number or email address you gave us are treated as received. Please tell us promptly if your contact details change.
- Complaints, claims, warranty claims, disputes and cancellations must be sent to us by email or by letter only, so there is a clear record for both of us. Any time limit in these Terms is met only when the email or letter reaches us.
- We may keep records of messages, approvals, job photos and our technicians' notes as evidence of what was agreed and done.
25. Photographs and references
We may take photographs of the Works for our records, quality checks and warranty purposes. We may use photographs of installed Equipment in our portfolio, website or social media only if they do not show people, identifying details of your property, or your recordings, and we will not name you as a client without your permission. You can ask us at any time not to use photographs of your job.
26. Our staff
Our technicians act on our instructions. Please make all requests, changes and payments through our office or official channels, not privately with individual staff members. We are not responsible for private arrangements, side jobs or payments made to individual staff members that were not authorised by us in writing.
27. Dispute resolution and arbitration
We would always rather fix a problem than argue about it. Any dispute, claim or disagreement arising out of or in connection with these Terms, a Quotation, an Invoice or the Works, including any question about their existence, validity, interpretation, performance or termination (a "Dispute"), must be resolved using the steps below, in this order.
- Written complaint. You must first notify us in writing (by email to our official email address or by letter to our business address only) with your job or invoice reference, a clear description of the issue, any photographs or evidence, and what you are asking us to do. We will acknowledge it and aim to give you a written response within 7 working days. If we have a complaint against you, we will notify you in the same way.
- Good-faith negotiation. If the written response does not settle the Dispute, a senior representative of each party will meet, in person or online, and try in good faith to resolve it within 14 days of either party asking for the meeting.
- Mediation. If the Dispute is still not resolved within 30 days of the original written complaint, either party may propose mediation by a single neutral mediator agreed by both parties. Mediation is voluntary and without prejudice; each party pays its own costs and the mediator's fees are shared equally. Nothing said or offered in negotiation or mediation may be used as evidence in any later proceedings.
- Arbitration. Any Dispute that is not resolved within 60 days of the original written complaint (or sooner, if the other party refuses to take part in the steps above) shall be referred to and finally resolved by arbitration under the Arbitration Act, No. 11 of 1995 of Sri Lanka, as follows:
- the tribunal will consist of a sole arbitrator agreed by both parties, or, if the parties cannot agree within 14 days of a written request, appointed in accordance with the Arbitration Act;
- the seat (legal place) of the arbitration is Kandy, Sri Lanka, although hearings may be held online or at another place the parties agree;
- the language of the arbitration is English (a party may use Sinhala or Tamil with an interpreter at its own cost);
- where reasonably possible, the arbitrator should decide the Dispute on documents and written submissions, without a full oral hearing, to keep costs down;
- the arbitrator must apply these Terms, including the limits on liability in section 20, and has no power to award any amount or remedy those sections exclude;
- the arbitrator may decide how the costs of the arbitration and reasonable legal costs are to be shared, and will normally order the unsuccessful party to bear them; and
- the award is final and binding on both parties and may be enforced in any competent court in Sri Lanka.
- Confidentiality. The negotiation, mediation and arbitration, and anything disclosed in them, are confidential, except where disclosure is needed to enforce an award or is required by law.
- Work and payment during a Dispute. While a Dispute is being resolved, you must still pay any amount that is not in dispute by its due date. A Dispute about one item does not entitle you to withhold payment for other items, Works or Invoices.
- Exceptions. Despite the above: (a) we may recover unpaid amounts that are not disputed in writing in accordance with section 5, and recover or repossess Equipment that has not been paid for, through any court with jurisdiction over you, without first following the steps above; (b) either party may apply to a court for urgent interim relief (such as an injunction or an order to preserve evidence or property) at any time; and (c) either party may take any step needed to stop a claim becoming time-barred.
- Your statutory rights. Nothing in this section prevents you, where you are a consumer, from making a complaint to the Consumer Affairs Authority or exercising any other right that cannot be excluded by law.
- Reviews. Posting reviews and feedback is your right. We only ask that you give us a fair chance to resolve the issue first and that what you post is truthful.
Governing law and courts. These Terms and any Dispute are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Subject to the agreement to arbitrate above, the courts of Kandy have exclusive jurisdiction, including over any application relating to the arbitration and over the matters in the exceptions above, although we may bring a claim for unpaid amounts in any court with jurisdiction over you.
28. Use of this website
- The information on this website, including prices, product details, guides and blog posts, is general information, not a quotation or professional advice for your specific situation. It may change without notice and may contain errors. Only a written Quotation is binding.
- Content, text, photographs, logos and designs on this website belong to us or our licensors and may not be copied or reused without our written permission. Brand names and logos belong to their respective owners.
- You must not misuse this website, for example by submitting false enquiries, attempting to gain unauthorised access, interfering with its operation, or using automated tools to collect data.
- The job tracking and account features are for our clients only. You must keep your job reference and phone number private and not attempt to access another person's information.
- Links to other websites are provided for convenience. We are not responsible for their content or availability.
- How we collect and use personal information is explained in our Privacy Policy.
29. General provisions
- Changes to these Terms. We may update these Terms from time to time. The version in force when you accept a Quotation applies to that order, unless both parties agree otherwise in writing.
- Subcontractors. We may use qualified subcontractors for parts of the Works and remain responsible for their work.
